General Terms and Conditions of Sale

With the Atelier Aimanuel®, I aim to build business relationships the same way I build furniture: durable and solid.

1. Scope of application

These general conditions of sale (GCS) govern the contractual relationship between Aimanuel® Sàrl and its private or professional customers.

Unless otherwise written, they apply to all sales of goods and services offered by Aimanuel® Sàrl, including sales concluded in store, remotely or online, by telephone, by email or by any other means of remote communication.

The GTCs apply exclusively, to the exclusion of all other general terms and conditions, notably the purchase terms, of the customers of Aimanuel® Sàrl.

Aimanuel® Sàrl reserves the right to modify these GTC at any time. The applicable version is the one in effect at the time the contract is concluded.

2. Orders

2.1. Online sales are primarily intended for customers domiciled in Switzerland.

Orders from customers domiciled abroad may be accepted on a case-by-case basis. In such a case, Aimanuel® Sàrl informs the customer, before confirming the order, of any special conditions applicable.

Aimanuel® Sàrl reserves the right to refuse an order without having to state the reasons.

2.2. When making purchases online, the customer can register on the Aimanuel® Sàrl website, place their order without registering, or by email. In all cases, the customer undertakes to provide accurate and complete information.

Aimanuel® Sàrl reserves the right to temporarily or permanently block access to the customer account, particularly in the event of a contractual breach, misuse, non-payment, a risk to security, or in order to comply with legal obligations.

Aimanuel® Sàrl declines all responsibility for damages or access by third parties resulting from the negligent or improper use of the login credentials by the customer, particularly in the case of the use of insufficiently secure passwords that have been disclosed or shared.

2.3. The presentation of goods and services, including on the Aimanuel® Sàrl website, in catalogues or in stores, is not contractual and does not constitute a legally binding offer, but an invitation to the customer to submit an offer.

The customer’s order constitutes a firm offer to conclude a contract. The contract is not deemed concluded until Aimanuel® Sàrl has sent a written confirmation of the order (by email or other written form). No cancellation of the order is possible after the conclusion of the contract.

In the event of a manifest error, particularly in the case of a clear error in displaying the price or an erroneous indication due to a technical malfunction or human error, Aimanuel® Sàrl reserves the right to cancel the order, even after sending a confirmation, provided that the customer is immediately informed thereof.

3. Prize

3.1. Prices are quoted in CHF. The Swiss value added tax (VAT) and the handling of the order are included in the price, unless otherwise stated. VAT is applied at the rate in effect at the time of ordering, in accordance with applicable federal legislation.

Special discounts on new goods are indicated specifically.

3.2. Delivery costs are exclusively the responsibility of the customer, according to the terms described in Article 4.4.

4. Production and delivery

4.1. Production and delivery times are indicative and may vary, particularly for custom-made goods. In the event of a delivery or production delay, the customer will be informed as soon as possible. Aimanuel® Sàrl assumes no liability in the event of a delay, subject to any mandatory deadline stipulated as such in the order and accepted by Aimanuel® Sàrl.

4.2. Aimanuel® Sàrl cannot be held responsible for delays or non-performance resulting from circumstances beyond its reasonable control, including cases of force majeure, natural disasters, fires, pandemics, armed conflicts, cyberattacks, energy or raw material shortages, major disruptions in transport, strikes, administrative decisions, or the unpredictable failure of a supplier.

In the event of a prolonged force majeure lasting more than 60 days, Aimanuel® Sàrl is entitled to terminate the contract without compensation.

4.3. When delivery depends on the progress of a project or on conditions beyond the control of the customer or third parties, the deadlines are extended accordingly. Aimanuel® Sàrl cannot be held responsible for delays attributable exclusively to these circumstances.

4.4. Aimanuel® Sàrl reserves the right to determine the actual mode of transport (postal mail, carrier, or truck delivery) for logistical or organizational reasons. The cost and the different possible delivery methods will be indicated on a case-by-case basis by Aimanuel® Sàrl at the time of ordering, in order to allow the customer to choose the option they prefer.

4.5. If the sales contract covers several goods, delivery is preferably made in bulk, as soon as the order is complete and ready to be delivered. Aimanuel® Sàrl is not obliged to make partial deliveries unless this has been explicitly agreed with the customer.

4.6. If a pick-up or removal of the goods has been agreed with the customer, they are informed as soon as the goods are ready at the agreed location.

If the customer does not come to collect the goods within a reasonable period despite a first reminder, Aimanuel® Sàrl sends him/her a written reminder setting a final withdrawal deadline.

In the absence of withdrawal within this deadline, and at the earliest two months after the goods are made available, Aimanuel® Sàrl is entitled to terminate the sales contract and may then dispose freely of the goods, including selling them.

4.7. When ordering, the customer undertakes to verify that the conditions of access, transport and delivery allow the normal shipment of the goods, taking into account their dimensions and weight, based on the information provided by Aimanuel® Sàrl.

Otherwise, the reasonable additional costs resulting from this may be charged to the customer.

4.8. The transfer of risks and profits occurs at the time of handing over the goods to the carrier or the customer in the case of pickup on-site.

Exhibition items, used items or those showing known defects to the customer are sold in the condition described at the time of the order. The transfer of risks and profits occurs under the same conditions as for new goods, subject to the condition known and accepted by the customer at the time of the order.

5. Liability and warranty

5.1. The legal warranty for defects is governed by the provisions of the Swiss Obligations Code (Art. 197 ff CO), subject to the following clarifications.

The warranty period is two years from delivery for new goods and one year for used goods.

5.2. The materials used for the manufacture of the objects sold, as well as their finishes, are of delicate and valuable nature, requiring special care during handling, cleaning, maintenance and conservation operations.

The customer undertakes to strictly comply with the maintenance, use and conservation recommendations contained in the technical documentation, the manuals or the instructions provided by the seller at the time of ordering or delivery.

The materials used as well as the assembly techniques employed are particularly sensitive to variations in temperature, humidity and ambient humidity conditions. The customer is therefore required to ensure a stable, appropriate environment compatible with normal indoor conservation, corresponding to the usual conditions of a living space..

5.3. Normal variations inherent in the nature of materials (such as wood, metal, stone, leather, textiles or synthetic materials), as well as normal wear and tear or modifications related to aging or exposure to light, do not constitute defects.

5.4. In the event of a defect, Aimanuel® Sàrl is obliged to provide after-sales service, it being specified that each product produced is unique and cannot be replaced. The customer’s rights are exercised in accordance with the applicable legal provisions and within the limits that can be required of Aimanuel® Sàrl.

5.5. Any liability for indirect, consequential or immaterial damages is excluded within the limits permitted by law.

5.6. Claims based on product liability are governed exclusively by the mandatory provisions of the Federal Act on Product Liability (LRFP) and remain reserved.

5.7. To the extent permitted by applicable law, Aimanuel® Sàrl’s liability is excluded for damages resulting from the non-compliance, unpredictability or manifestly inappropriate use of the goods, from failure to maintain them properly, from failure to follow the instructions, as well as for damages that could have been avoided by the customer’s proper conduct. The customer is obliged to check, before use, that the goods are suitable for the intended use.

5.8. The mandatory provisions of Swiss law, particularly in cases of fraud or serious negligence, remain unaffected.

6. Payment

6.1. Payment can be made by bank transfer in advance, invoice, credit card (Mastercard, Visa, American Express), debit card or cash, according to the methods offered by Aimanuel® Sàrl at the time of ordering.

Unless otherwise agreed in writing or specified on the invoice, the payment deadline is ten (10) calendar days from the date of billing.

6.2. Unless otherwise agreed in writing, Aimanuel® Sàrl may request a deposit of between 30 % and 70% of % the total amount. The balance is due within ten (10) calendar days from the final invoice or, as the case may be, upon delivery.

6.3. In the event of non-payment by the due date, the customer is in default without further notice. Aimanuel® Sàrl may send a written reminder and reserves the right to charge reasonable reminder fees as well as default interest at the rate of 5 % per year. In the event of further action or collection, the actual costs incurred may be claimed.

6.4. The goods remain the property of Aimanuel® Sàrl until the full payment of the purchase price. The customer agrees and authorizes Aimanuel® Sàrl to register a reservation of ownership, in accordance with applicable law. The registration fees may be charged to the customer.

6.5. Any compensation, deduction or retention by the customer is excluded, unless the customer's claim is undisputed or recognized by a final judicial decision.

7. Intellectual property

7.1. The website of Aimanuel® Sàrl and all its content, including texts, images, photographs, illustrations, videos, logos, trademarks, designs, databases and layouts, are protected by copyright, trademark law and, where applicable, other intellectual property rights belonging to Aimanuel® Sàrl or third parties who have granted a license for use.

No ownership or license rights are transferred to the user by consulting the website. The user only benefits from a personal, limited, non-exclusive and non-transferable right of use, within the limits provided for by these terms and conditions and by law.

7.2. Any reproduction, modification, distribution, making available to third parties, online publication, use for advertising or commercial purposes, in whole or in part, of the content of the website is prohibited without the prior written consent of Aimanuel® Sàrl or the holder of the relevant rights.

7.3. Aimanuel® Sàrl retains full ownership of all intellectual property rights and copyrights on all creations, all custom-made furniture, designs, drawings, plans, sketches, prototypes and technical documentation developed or produced for the Client.

The verbal mark « Aimanuel® » is protected, as is the logo. The Customer formally acknowledges that the mark « Aimanuel® », as well as all logos, distinctive signs, graphics and trade names associated with it, are and remain the exclusive and absolute property of Aimanuel® Sàrl. The sales contract does not grant the Customer any right, title or interest in the mark « Aimanuel® ».

8. Data protection

8.1 The customer's personal data are processed, stored and deleted by Aimanuel® Sàrl in accordance with its Privacy statement and to the applicable legislation regarding data protection and the legal obligations of retention.

The customer guarantees to Aimanuel® Sàrl the accuracy and legality of all personal data that he/she provides to Aimanuel® Sàrl for processing.

9. Applicable law and legal forum

9.1. These general terms and conditions of sale are subject to Swiss law, excluding the rules of private international law.

9.2. Any dispute relating to these GTCs or to the contracts concluded with Aimanuel® Sàrl shall be subject to the exclusive jurisdiction of the courts of the registered office of Aimanuel® Sàrl, subject to any other mandatory provision of law.

9.3. If any provision of these Terms and Conditions is declared null, invalid or inapplicable, the other provisions shall remain fully in force. The invalid provision shall be replaced by a valid provision.
